Board of Directors

Mission

The Board of Directors sets the strategic, economic, and financial policies of Assystem’s businesses and oversees their successful implementation.

Subject to the powers expressly granted to shareholders and within the limits of the corporate purpose, the Board examines any and all matters concerning the smooth running of Assystem at the initiative of its President and in its deliberations it rules on the matters that concern it. These include all strategic decisions for Assystem and the Group.

The Board of Directors has established two committees dealing with specific issues: an Audit Committee and a Compensation and Corporate Social Responsibility (CSR) Committee.

The internal regulations of the Board of Directors, which are available to shareholders at the registered office and also on this website, set out the mission of the Board and its committees. It defines the Board’s operating mode and how to apply the legal requirements and the statutory provisions regarding its role in Assystem’s management. It also indicates the rights and duties of the Board of Directors’ members, mainly with regard to the prevention of conflicts of interest, the strict confidentiality of its deliberations and the due diligence required to participate in its works. Finally, it deals with the rules relating to transactions in Assystem’s securities, as recommended by the Financial Markets Authority (Autorité des Marchés Financiers).

On 24 January 2023, Mr. Stéphane Aubarbier was appointed Deputy CEO by the Board of Directors.

Composition

The Assystem Board of Directors consists of seven members, all appointed for a renewable term of three years.

    Dominique Louis is Chairman of the Assystem SA Board of Directors. A graduate of the ENSEM school of engineering, Dominique Louis began his career as a testing engineer at ATEM, specialised in industrial and nuclear engineering. He went on to found the company R’data, followed by Alphatem, a joint subsidiary with COGEMA, which would later merge to form Assystem. In 1995, Dominique Louis oversaw the initial public offering of Assystem which had a staff of 3,000 engineers and technicians and an annual revenue of €250 million at the time. The phasing out of nuclear power in the late 1990s marked the beginning of Assystem’s transformation, whereupon it would diversify into the aeronautics and automotive sectors and develop internationally. In 2017, Dominique Louis decided to refocus the Group’s business on its historic areas of expertise: nuclear power and complex infrastructures. For this purpose, Assystem sold 60% of its outsourced R&D business to the Ardian investment fund and acquired a 5% stake in Framatome to confirm the Group’s role in the French nuclear sector. In 2018, Dominique Louis and his advisor Jean-Louis Ricaud, published a book entitled "2050 : la France sans Carbone” (2050: A Carbon-Free France), which set out their uncompromising review of trends in global CO2 emissions, and the solutions to be deployed to ensure access to competitive, decarbonised energy for all. In 2021, Dominique and Jean-Louis Ricaud published their second book, “Energie nucléaire, le vrai risque” (Nuclear energy, the real risk), in which they demonstrate the role of nuclear power as an all-important solution to the climate challenge. Dominique Louis was made a Chevalier (Knight) of the Légion d’honneur (Legion of honour).

    Stéphane Aubarbier is an engineering graduate from INSA Lyon and ESCP-EAP. He started his career at Assystem as a test engineer before taking on various responsibilities that led him to take charge of the automotive sector. After a 5-year period with the ABB group where he managed the maintenance contract activities for France and then for Southern Europe, before managing the marketing and development of the service branch for Southern Europe, he returned to the Assystem group in 2002 to create the engineering activities and redevelop the energy & nuclear sector. Appointed Executive Vice President of the group in 2005, he managed the automotive, manufacturing and energy sectors and led the development in the Middle East and Asia. He became Chief Operating Officer in 2018. On January 24, 2023, he was appointed Deputy CEO of the Assystem group, in charge of all the company's activities. Stéphane Aubarbier was also President of Syntec-Ingénierie (French professional federation) and has been a member of the Strategic Committee of the French Nuclear Industry since 2011.

    Malène is a graduate of the French business school ESCP Europe. She began her career at KPMG Deal Advisory in 2008, where she was senior manager in Transaction Services and took part in numerous merger & acquisition projects. In 2014, she joined Europcar Mobility Group where she held several positions in finance and operations,  including Group Head of M&A, Group Controlling Director, Group Transformation Director in charge of HQ reorganization together with functional processes rationalization, Deputy Group CFO, and lastly Group CFO prior to Europcar delisting after the acquisition by a Volkswagen-led consortium. She joined Assystem in February 2023 as Group Chief Financial Officer. She is a member of the Executive Committee.
  • Christian Jeanneau

    A graduate of the INSA Lyon engineering school, Christian Jeanneau joined Assystem in 1995 as a testing engineer, working in French nuclear plants and in the naval sector, among others. After gaining further experience in South Africa in infrastructures, then in the automotive industry as Director of Operations, Christian took the helm of the Engineering business in 2008, then of the French nuclear activities in 2011. In 2013, he became Managing Director of Assystem France for Energy, Infrastructures and Life Science activities, before being appointed Senior Vice-President for the Group’s digital activities in 2022. Since July 2023, Christian is Executive Vice President International, Project Management & Digital. He is also Director of the Assystem Institute, our training body created in 2008 to transfer the Group’s skills and knowledge to new generations of engineers, and Administrator & Vice President of Syntec Ingénierie, in charge of social issues and training.

    A graduate of France’s prestigious Ecole Polytechnique and a member of the Corps des Mines, Thomas Branche began his career at Total Exploration & Production, before joining the French Ministry for Energy, where he managed the nuclear branch of the General Directorate for Energy and Climate Change. He, then, became Deputy Head of the cabinet of the French Minister for Industry, Energy, and the Digital Economy. He joined Assystem in July 2012 taking charge of the French Nuclear business unit, before moving to Dubai in 2016 to manage Assystem's activities in Middle East and Central Asia. In 2017, Thomas became Senior Vice-President in charge of "Energy Transition and Infrastructure" activities, then in 2022, of Assystem's engineering activities worldwide. He is appointed Executive Vice President France, Nuclear & Energy New Build in July 2023 and represents the French professional federation of engineering companies on France’s Hydrogen Council.

    Emmanuelle Capiez holds a Master's degree in Economics and began her career as a consultant in international HR firms specialising in headhunting (Egor, FSC Consultants, etc.). After 6 years in a consulting firm, Emmanuelle joined the SIRIS Group - Telecom Operator - as HR Development Manager, building an expertise in recruitment, training, internal mobility, Key People management, to then take on a broader role as HR Business Partner. In 2003, Emmanuelle took on the role of Human Resources Director at Assystem, first in BU functions, then in France, then internationally, before taking overall responsibility for Human Resources as Senior Vice-President of Human Resources within the Group. She is a member of the Executive Committee.

    In 2012, Anne-Charlotte graduated from the Paris Institute of Political Studies and Beijing University with a dual master's degree in international affairs, specialising in the environment and sustainable development. She began her career at Orano in the strategy department, before joining Assystem in 2014. She is presently Vice President of Marketing & Communication and a member of the Executive Committee. From 2017 to 2021, Anne-Charlotte was also Gender Diversity Programme Director. In 2019, she was appointed Chair of the Communication Commission for the French Nuclear Industry Association (GIFEN).

    Holder of a doctorate in Information and Communication Sciences and Technologies, Robert Plana has spent more than 30 years working in research and design, innovation, and digital transformation. After teaching for several years at the Paul Sabatier University of Toulouse and at the "Institut Universitaire de France", he pursued a career in research and design and innovation management, holding various management positions at the CNRS, the French National Research Agency, and the French Ministry of Higher Education and Research. He continued his career in innovation at Alstom and GE where he oversaw various R&D programs in the field of smart grids and digital twins. Robert joined Assystem in 2017 as Chief Technology Officer. As a member of the Executive Committee, Robert leads the Group’s innovation and digital transformation strategy. Drawing on his expertise in cutting-edge industry, Robert supports Assystem’s strong development ambitions to step up its digital transformation and its innovative capacity to increase the performance of the services delivered to its customers.

    As a graduate of École Nationale Supérieure de Mécanique et des Microtechniques (ENSMM) and as the holder of an Executive MBA from École des Hautes Etudes Commerciales de Paris (HEC), Guillaume Puravet also has 23 years of industry experience. Guillaume started his career with Assystem as a mechanical engineer, growing and developing on a variety of international missions where he managed projects, led business units and developed strong key account relationships. Since 2024, Guillaume has been leading the SBU in charge of Owner Engineering activities for the Assystem Group, in particular for the development of the nuclear new build and energy sector; he is also developing the Group's activities in the Middle East and Central Asia regions. Guillaume is a member of the Assystem Group Executive Committee. He also holds Managing Director and Assystem representative roles within several of Assystem’s international joint ventures.

    Kerem Sadiklar

    Managing Director at Assystem Radicon in Saudi Arabia

    Kerem Sadiklar graduated as a civil engineer from Türkiye’s Bogazici University in 1995. Since then, Kerem has gained 28 years of experience in engineering, architecture, contract, and project management for the industrial, transportation, energy, water, and real estate sectors. Kerem is well-versed in international regulations, with experience of leading multicultural teams, organisational structuring and executive management of international teams, and complex project management. His strong technical background has brought him success in the leadership of site characterisation, engineering design, project management and technical consultancy programmes. Kerem joined the Assystem group in 2018 to lead its operations in Türkiye and Uzbekistan. In 2023, Kerem took on the role of Managing Director at Assystem Radicon in Saudi Arabia, while also maintaining his previous responsibilities at Assystem Türkiye. Kerem joined Assystem’s Executive Committee in March 2024.

    After graduating as an Electrical Engineer in 1981, Ashish began his career with English Electric (later Areva). He went on to lead the EPC business at Reliance Energy Limited and was involved with the construction of six super critical power plants. In 2011, Ashish was appointed as President of BGR Energy and in 2013, he joined Egis India as Managing Director. In 2019, Ashish joined Assystem Stup as Managing Director, opening a series of new offices across India to support the growth of the company. In 2024, Ashish led the acquisition of L&T IEL to enhance Assystem’s market share in infrastructure, transportation, and energy sectors, while expanding its capabilities in design and planning. He is a member of the Executive Committee.
