Who are we?

Assystem is an independent engineering group that has been in business for over 50 years. We specialise in managing projects that are complex on account of their size, technological content or functional, safety and security requirements. As a major player in digital engineering, Assystem assists its clients in their digital transformation delivering solutions in digital engineering, architecture and industrial information system integration.

We currently have 5,700 employees working in 14 countries in Europe, the Middle East, Africa and Asia. We help our clients to manage, design, build and improve the performance of infrastructure used for electricity production, transport systems and healthcare facilities as well as in workplaces and other locations, with the overall aim of putting in place safe, high-performing and cost-efficient equipment and facilities that provide a best-in-class user experience.

Energy transition
Combating climate change is undeniably a key priority for the 21st century and the fight cannot be won without energy transition on a worldwide scale. This means making safe and sustainable energy available for all of the world's populations so they can enjoy the highest living standards, particularly in terms of healthcare, communications, education and comfort. At Assystem, we believe that energy transition is about more than finding ways to limit  energy consumption. We also need to consider the significant increase in demand for electricity by new technologies and the development of increasingly low-carbon sources of electricity through a combination of nuclear power and renewable energies. We believe that nuclear power has an essential role to play in guaranteeing energy security and reducing the impact of greenhouse gases.

Digitalisation
When it comes to modern society’s other major revolution – digitalisation to improve infrastructure performance – the playing field is vast and there is a host of new technologies out there. For example, it is about improving safety and security levels by more effectively managing needs and requirements. And it is also about improving the design and management of projects by using digital engineering tools, and developing command and control systems, combined with cobotic solutions, in order to optimise the performance of facilities. Assystem’s aim is to continue to develop these solutions in the nuclear sector as well as in the fields of energy, transport, life sciences, and more widely, complex infrastructure.

Dominique LOUIS

France has reached a turning point in its energy policy, and its leaders need to make a decisive choice on the strategy to adopt for the second half of the 21st century.

In the long-term, we need to see solar and wind energies making a major contribution to meeting electricity demand. With this in mind, it is vital to invest appropriate R&D resources to increase their competitivity though technical and economic efficiency. Until we achieve this, worldwide use of nuclear power would appear to have a key role to play.

Members of the Board of Directors 

Previously Chairmen of the Board of Directors, Dominique Louis has been Assystem’s CEO since May 2014.

A qualified engineer (ENSEM), Dominique Louis commenced his career as a test engineer at ATEM, specialised in industrial and nuclear engineering. He subsequently founded the company R’data, followed by Alphatem, a joint subsidiary with COGEMA, which were merged to form Assystem.

In 1995, Dominique Louis held an initial public offering of Assystem, which had a staff of 3000 engineers and technicians at the time and had a turnover of €250 million.

The phasing-out of nuclear power in the late 90s marked the beginning of Assystem’s transformation, diversifying into the aeronautics and automotive sectors and achieving international growth. In 2017, Dominique Louis made the decision to focus the Group’s business back on its historic areas of expertise: nuclear power and complex infrastructures. As such, Assystem sold 60% of its outsourced R&D business to the investment fund Ardian and took a 5% shareholding in Framatome to confirm the Group’s role in the French nuclear sector.

In 2018, Dominique Louis and Jean-Louis Ricaud, Advisor to the CEO and Chief Operating Officer, published the book “2050 : la France sans Carbone” (2050: A Carbon-Free France) and offered their uncompromising review of trends in global CO2 emissions and of the solutions to be deployed to ensure access to competitive decarbonised energy for all.

Dominique Louis has also been made a Chevalier (Knight) of the Légion d’Honneur (Legion of Honour).

Philippe CHEVALLIER is a graduate of ESSEC and the Institut d’Etudes Politiques de Paris. Prior to Assystem, he was for 12 years Chief Financial Officer at Elior. He restructured the company’s liabilities (capital increase and debt refinancing), managed capital evolutions and mergers and cessions.

He began his career at Usinor (now ArcelorMittal) where he was Head of Financing and Mergers & Acquisitions Director.

Since 2015, Philippe CHEVALLIER is Deputy CEO and Chief Financial Officer in Assystem. He will be a member of the executive committee and report to the Chairman and CEO, Dominique LOUIS.

An engineering graduate of the Lyon INSA (National Institute for the Applied Sciences) holding an MBA from the ESCP-EAP (European School of Management in Paris), Stéphane AUBARBIER started his career in the Assystem group on operational positions and took over the development of the automotive sector.

Subsequently, Stéphane turned his talents to marketing to work on the service offers within the ABB group. He successively occupied the positions of Director of the maintenance contracts division for France, then for Southern Europe, finally taking over ABB Service’s Marketing and Business Development Management for Southern Europe.

In 2002, Stéphane joined Assystem’s Executive Committee to steer the Process Business Unit and developed the engineering activities. Since 2005, Stéphane is Executive Vice-President of the Assystem group.

Between 2012 and 2014 Stéphane was the president of Syntec Ingénierie (French federation gathering engineering companies). He is now a member of the CSFN (French nuclear industry strategic committee) board.

Since 22 May, 2014 Assystem has been a public limited liability company with a Board of Directors. This method of administration provides governance more closely aligned with management, while ensuring adequate oversight by the independent directors. 
Assystem’s senior management attaches great importance to the efficiency of its process for making important decisions and the smooth flow of information within the Group. This constant concern is largely due to its highly decentralised organisation and continues to play a relevant role as the company gradually grows more global.

The Board of Directors sets the strategic, economic and financial policies of Assystem’s businesses, and oversees their successful implementation.

Subject to the powers expressly granted to shareholders and within the limits of the corporate purpose, the Board examines any and all matters concerning the smooth running of Assystem at the initiative of its president, and in its deliberations it rules on the matters that concern it. These include all strategic decisions for Assystem and the Group.

To carry out its tasks effectively, the Board receives regular and comprehensive information on the matters submitted to it prior to its meetings, and on all matters on the agenda including the quarterly reports on the management of the company.

The Board meets as often as the interests of the Company require it to, and at least three times a year.

The Assystem Board of Directors consists of five members, including three independent members(*), all appointed for a renewable term of three years.

On 5 June 2015, Mr. Philippe Chevallier was appointed Deputy CEO and CFO by the Board of Directors.

The Board of Directors has established two special committees, an Audit Committee and a Remuneration and Appointments Committee.

The rules of procedure of the Board of Directors, which is available for shareholders at the Company’s head office and also on this website, determine the responsibilities of the Board and of its committees. They specify the Board’s mode of operation and the procedures for implementing legal requirements and statutory provisions concerning its role in the management of Assystem. The rules also mention the rights and duties of the Members of the Board, particularly regarding the prevention of conflicts of interest, the strict confidentiality of its deliberations and the relevant despatch for participating in its work. They also set down the rules on transactions involving Assystem’s shares, as recommended by the Autorité des Marchés Financiers.

Audit Committee
The Audit Committee assists the Board to exercise its powers and functions in the areas of finance and auditing, including the integrity of financial reporting, internal control, carrying out internal audits, the independence and performance of the Statutory Auditors, risk management, financial planning, monitoring major projects and ethical standards.


The Audit Committee consists of:

Remuneration and Appointments Committee
This is responsible for submitting to the Board proposals for the appointment of members of the Board of Directors, any executive officers and the members of the Audit Committee. It is also informed by the Chairman of the Board of Directors of the appointments of other executives.

In addition, the Committee proposes to the Board the amounts for Directors’ fees to be submitted to the General Assembly as well as their allocation between the members of the Supervisory Board.

The Committee may also propose to the Board the remuneration of certain executive officers and, upon request of the Chairman of the Board, to comment on the terms.

The Remuneration and Appointments Committee consists of:

A graduate of the Ecole Polytechnique and Ecole des Mines, Thomas BRANCHE began his career at Total Exploration & Production, before working for the French state, notably in the Directorate General for Energy and Climate. Previously Deputy Manager in charge of the Energy division in the office of Eric Besson, former Minister of Industry, Energy and the Digital Economy, Thomas joined the Energy & Infrastructures division of Assystem as Deputy Director General in 2012, with responsibility of the French nuclear market.

In 2016, Thomas became Managing Director for Assystem in the Middle East. In 2017, Thomas became Senior Vice President in charge of all activities related to energy transition and infrastructures development worldwide.

Trained as an engineer (INSA Lyon), Christian JEANNEAU joined Assystem in 1995 as a test engineer working on French nuclear plants and in the naval sector. After an experience in South Africa in infrastructure and then with Renault, he took over as head of the Engineering branch in 2008. In 2011, he became Director of Assystem nuclear activities in France first and since 2017, he is Senior Vice President for nuclear activities worldwide.

He is also Director of the Assystem Nuclear Institute, a training institute established in 2008 to transmit to new generations of engineers the skills and knowledge developed by the Group in the fields of dependability, commissioning and decommissioning.

A graduate of Grenoble Business School, Franck LADEGAILLERIE began his career in the automobiles international department of Peugeot, in charge of the development of the brand in the eastern Europe and CIS countries, before joining ABB Group in the field of maintenance developing outsourcing maintenance services in the industrial sector.

Franck, then moved to marketing & communication for Cospirit Group, in charge of developing media consulting services for the retail sector in Europe, before being appointed as Sales Director for the sportswear brand Sun Valley in charge of sales development in North America and Japan.

In 2005, Franck joined Assystem as Key Account Manager for large automotive and energy accounts such as Renault and Framatome. He then moved to Dubai in 2013 to develop international engineering activities in the Middle East, South East Asia and eastern countries.

Early 2018, Franck was appointed Managing Director of MPH, the manpower supply subsidiary of Assystem which is headquartered in Dubai.
